Tixster Terms of Service

Tixster provides tools for safe, fan-to-fan ticket resale using escrow payments, KYC verification, and a one-time PIN handover. We are an independent marketplace (not the original ticket seller). Using Tixster means you agree to these Terms. Some features are in beta and may change.

1) Who we are and what we do

Tixster (“Tixster”, “we”, “our”) operates a web/app marketplace (the “Service”) that lets users list, buy, and safely exchange event tickets using an escrow flow and verification steps. We are not an event organizer, venue, primary ticketing provider, or the seller of any ticket.

2) Acceptance of Terms

By creating an account, listing a ticket, requesting/buying a ticket, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

3) Eligibility

  • You must be 18+ and capable of entering into a binding contract.
  • You must provide accurate information and, if requested, complete KYC (identity verification).
  • You may use the Service only in compliance with applicable laws and event/venue T&Cs.

4) Accounts & Security

Keep your login credentials confidential and secure your device. You are responsible for all activity under your account.

We may suspend or terminate accounts for policy violations, suspected fraud, or risk to users.

5) Marketplace Role

Tixster provides listing, messaging, escrow, and verification rails. Except where we act as a limited payment agent for escrow payout, we are not a party to transactions between buyers and sellers.

Artist, venue, and event names are used for identification only. Tixster is independent and not affiliated unless explicitly stated.

6) Listings & Price Caps

  • You may list only tickets you legitimately own and are permitted to transfer under the event’s/organizer’s terms.
  • During beta, Tixster enforces a maximum resale price of +10% over the ticket’s face value (excluding platform/processing fees). Listings above the cap will not publish. We may request proof of face value and remove non-compliant listings. Partners/events may impose stricter caps.
  • You must accurately describe seat/section, delivery method (digital transfer vs. meetup), and any restrictions.

7) Escrow, Payments & Payouts

Buyers pay into escrow via supported payment methods (e.g., GCash, Maya, major cards via PayMongo). We do not store full card details.

Funds are released to the seller only after verified handover: buyer presents the one-time PIN in-app; seller enters it to confirm exchange (or after platform-verified digital transfer where applicable).

No off-platform payments (cash, direct wallet transfers) are allowed. Doing so voids protections and may lead to account action.

Payout timing depends on payment partners and risk checks; typical windows are same day to 2 business days after confirmation. Delays may occur due to compliance reviews, chargebacks, or suspected fraud.

8) Meetups & Digital Transfers

For in-person exchanges, choose a public, well-lit location; follow in-app guidance. Do not share screenshots or codes over external DMs.

For digital tickets, follow the official transfer process when available. Screenshots or PDFs may be insufficient for entry and can be fraudulent.

9) Cancellations, No-Shows & Disputes

If a party no-shows or fails to deliver as described, do not confirm handover. Open a Resolution Case in-app.

For entry failures (e.g., ticket denied at gate), you must open a Resolution Case within 24 hours of the event start and provide evidence (e.g., gate staff note, organizer email).

We may temporarily hold escrow while we collect information and may reverse/release funds according to the evidence and these Terms.

10) Event Changes, Postponements & Cancellations

Event policies are set by organizers/venues. If a primary seller issues refunds, sellers are expected to pass through applicable refunds to buyers. Tixster may facilitate but does not guarantee outcomes.

11) Fees & Taxes

Tixster charges a platform fee and payment processing fees disclosed at checkout/listing. Fees may differ by event or partner rules.

You are responsible for taxes arising from your sales or purchases. Where required, we may collect, withhold, or report taxes.

12) Prohibited Conduct

  • List counterfeit, duplicated, or non-transferable tickets; circumvent price caps; misstate face value; or sell bundles with unrelated goods.
  • Evade the platform (off-platform payments or communications to avoid fees/safety checks).
  • Use bots/scrapers or engage in spam, harassment, or illegal activity.
  • Post content that is unlawful, defamatory, deceptive, or infringing.

13) User Content & License

You retain rights to your content (listings, messages, reviews). You grant Tixster a non-exclusive, worldwide, royalty-free license to host, display, and use such content to operate and improve the Service.

You represent that your content doesn’t infringe third-party rights.

14) Privacy

Our Privacy Policy explains how we collect, use, and share personal data. By using the Service, you consent to those practices.

15) Risk, Warranties & Disclaimers

Tixster is a marketplace. We do not control the existence, quality, or legality of tickets, or the truth/accuracy of listings.

The Service is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

16) Limitation of Liability

To the maximum extent permitted by law, Tixster and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits/revenue, even if advised of the possibility. Our aggregate liability for any claim relating to the Service will not exceed the greater of (a) PHP 10,000 or (b) the total fees you paid to Tixster in the 3 months before the claim.

17) Indemnity

You agree to defend, indemnify, and hold harmless Tixster, its officers, employees, and partners from claims, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party rights.

18) Enforcement & Remedies

We may, at our discretion and without refund: remove listings, withhold or delay payouts, limit account features, suspend or terminate accounts, or block access if we believe you violated these Terms or pose a risk. We may also freeze escrow during investigations.

19) Beta Features

Some features are labeled Beta or Preview and may be incomplete or change without notice. Performance and availability may vary. We may collect feedback and usage data to improve the Service.

20) Changes to the Service or Terms

We may modify the Service and these Terms. If changes are material, we will provide reasonable notice (e.g., email or in-app). Continued use after the effective date constitutes acceptance.

21) Third-Party Services

The Service may integrate with third-party services (e.g., payment processors, ID verification, fan-club verification). Your use of those services may be subject to their separate terms.

22) Intellectual Property

The Service, including its software, design, and trademarks, is owned by Tixster or its licensors. Except as allowed by these Terms, you may not copy, modify, distribute, or create derivative works from the Service.

23) Governing Law & Dispute Resolution

These Terms are governed by the laws of the Philippines.

Good-faith resolution: Contact support first. We will attempt to resolve disputes informally within 30 days.

Arbitration/venue: If unresolved, disputes will be submitted to confidential arbitration administered by the Philippine Dispute Resolution Center, Inc. (PDRCI) under its rules. Seat: Makati City, language: English. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive relief in the courts of Makati City, Metro Manila to protect IP or platform integrity. If you prefer court venue language instead of arbitration, replace this paragraph with a venue clause.

No representative actions: To the extent permitted by law, disputes must be brought individually.

24) Notices

We may send notices by email, in-app messages, or postings on the Service. You agree to keep your email current.

25) Miscellaneous

Severability: If any provision is unenforceable, the remainder remains in effect.

Assignment: You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger/acquisition.

Force Majeure: We are not liable for delays/failures due to events beyond our reasonable control.

Entire Agreement: These Terms + Privacy Policy constitute the entire agreement between you and Tixster.

Annex A — Transaction Rules (Operational)

  • Price Cap: During beta, max resale price is face value + 10% (platform/processing fees shown separately). Proof of face value may be required.
  • Escrow Required: All payments must go through Tixster escrow. Off-platform payments void protections.
  • Handover Confirmation: Release of funds requires in-app one-time PIN confirmation or verified digital transfer.
  • Resolution Window: Open a Resolution Case as soon as an issue occurs and no later than 24 hours from event start for entry disputes. Provide evidence.
  • No-Show Policy: If a counterparty does not appear within the grace window, you may cancel; escrow will refund/release according to role and evidence.
  • Counterfeit/Fraud: We may suspend accounts, seize funds in escrow (subject to law), and report to authorities.
  • Prohibited Tickets: Tickets marked non-transferable or violating organizer T&Cs may not be listed; such listings will be removed.

Annex B — Community Guidelines (Short)

  • Be honest. Describe tickets accurately; don’t inflate prices beyond caps; don’t misrepresent face value.
  • Be respectful. No harassment or hate speech.
  • Be safe. Use suggested meetup spots; keep exchanges on-platform; never share private info publicly.
  • Be responsive. Confirm handovers promptly; respect agreed times.
